1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and AISysware LLC, a Virginia limited liability company ("AISysware," "we," "us," or "our"). By accessing or using our websites, products, or services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.
2. Description of Services
AISysware provides AI-powered business solutions, including but not limited to CallSub AI, HRSub AI, ViTriage AI, CareSub AI, CRMSub AI, AccountSub AI, AgentSub AI, and related products, workshops, and consulting services. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice.
3. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Services. By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
4. Account Registration
Certain Services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights
- Transmit malware, viruses, or other harmful code
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to the Services or related systems
- Use the Services for any fraudulent, misleading, or deceptive purpose
- Reverse engineer, decompile, or disassemble any part of the Services
- Scrape, harvest, or collect data from the Services without authorization
- Use the Services in a manner that could damage, overburden, or impair our infrastructure
6. Intellectual Property
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, trademarks, and trade names, are the exclusive property of AISysware LLC or its licensors and are protected by United States and international intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any of our intellectual property without our prior written consent.
7. User Content
You retain ownership of any content you submit, upload, or transmit through the Services ("User Content"). By submitting User Content, you grant AISysware a non-exclusive, worldwide, royalty-free license to use, process, and store such content solely as necessary to provide and improve the Services. You represent that you have all necessary rights to grant this license and that your User Content does not infringe any third-party rights.
8. Payment Terms
Certain Services may be offered on a subscription or fee basis. You agree to pay all applicable fees as described at the time of purchase. All fees are non-refundable unless otherwise stated in writing. AISysware reserves the right to change pricing with reasonable notice. Failure to pay may result in suspension or termination of your access to the Services.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, AISYSWARE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AISYSWARE LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO AISYSWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify, defend, and hold harmless AISysware LLC, its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your infringement of any rights of a third party.
12. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in the Commonwealth of Virginia, and you consent to the personal jurisdiction of such courts.
14. Modifications to Terms
AISysware reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Services after any modifications constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and AISysware LLC regarding the Services and supersede all prior or contemporaneous understandings, agreements, or communications.
